Account Terms

All services provided by “CSpace Hostings” may be used for lawful purposes only. Transmission, storage or presentation of any information, data or material in violation of any law is prohibited. This includes, but is not limited to: copyrighted material, material we judge to be threatening or obscene, or material protected by trade secret and other statute. The subscriber agrees to indemnify and hold harmless “CSpace Hostings” from any claims resulting from the use of service which damages the subscriber or any other party. Prohibited are sites that promote any illegal activity or present content that may be damaging to “CSpace Hostings” servers, or any other server on the Internet.

CSpace Hostings agrees to furnish services to the subscriber, subject to the following AUP (Acceptable Use Policy). Use of CSpace Hostings Service constitutes acceptance and agreement to CSpace Hostings AUP as well as CSpace Hostings TOS (Terms of Service).

All provisions of this contract are subject to the TOS (Terms of Service) and of CSpace Hostings and AUP (Acceptable Use Policy). The AUP may be changed from time to time at the discretion of the Company. Subscriber understands that change to the AUP by the Company shall not be grounds for early contract termination or non-payment. This Agreement shall be construed in all respects in accordance with the laws of Estonia.

    Offer and Agreement


  • These General Terms and Conditions shall apply to all offers, legal relationships and Agreements under which CSpace Hostings provides goods and/or services of whatever nature to CUSTOMER. Deviations from and additions to these General Terms and Conditions shall only be valid if they have been expressly agreed in writing.
  • All offers and other statements by CSpace Hostings shall be without obligation, unless CSpace Hostings expressly indicates otherwise in writing. CUSTOMER warrants the accuracy and completeness of the measurements, requirements, performance specifications and other data on which CSpace Hostings bases its offer and which have been stated by or on behalf of CUSTOMER to CSpace Hostings.
  • The application of CUSTOMER’s purchasing or other terms and conditions is expressly ejected.
  • If any provision of these General Terms and Conditions is null and void or annulled, the other provisions of these General Terms and Conditions shall remain in full force.
  • CSpace Hostings may always state additional requirements concerning communication between the Parties or performance of legal acts by e-mail.

  • Payment for Services


  • Establishment of this service is dependent upon receipt by CSpace Hostings of payment of stated charges. Subsequent payments are due on the date that is mentioned on the invoice for that service.
  • All accounts and services provided by CSpace Hostings are subject to the current VAT tax rate as imposed by Estonia.
  • CUSTOMER reserves the right to dispute in good faith all or any portion of any invoice received from CSpace Hostings and to withhold payment of such disputed amounts, provided that CUSTOMER provides written notice of the amount of and reasons for the dispute at the time payment is withheld. CSpace Hostings must receive written notice of any dispute from CUSTOMER within fourteen (14) days after the date of the relevant invoice; otherwise, CUSTOMER shall be deemed to have waived its right to dispute such invoice. In the event of a dispute, CUSTOMER shall pay the undisputed portion of the invoiced charges. Notwithstanding anything in the agreement or any to the contrary, CUSTOMER failure to pay any charges due as a result of an unresolved dispute shall not be deemed a breach of either the Agreement.
  • Any amount not paid by CUSTOMER within fourteen (14) days after the date of the relevant invoice, absent any good faith dispute regarding the unpaid portion, will be subject to a late charge in the amount of one and two percent (2,0%) per month or the maximum amount allowable by law, whichever is less. Such interest shall accrue from the day after the date on which payment is due up to and including the date on which CSpace Hostings receives payment. This interest charge shall be payable notwithstanding any and all damages which CSpace Hostings may otherwise claim in respect of CUSTOMER failure to make payment when due. CUSTOMER agrees to pay CSpace Hostings reasonable expenses, including attorney and collection agency fees, incurred by CSpace Hostings in enforcing its rights under the Agreement and the attached Annexes.
  • Unless otherwise agreed by CSpace Hostings and CUSTOMER, CUSTOMER is solely responsible for the payment of any local access or other telecommunications charges related to or arising out of CUSTOMER connection to and use of CSpace Hostings network and services. CUSTOMER is responsible for paying any fees, obtaining any required approvals and complying with any laws or usage policies applicable to transmitting data beyond the Network and/or through other public and private networks. CSpace Hostings is not responsible or liable for performance or non-performance of such networks or their inter-connection points.
  • Credit cards that are declined for any reason are subject to a €1.00 declination fee. Service will be interrupted on accounts that reach their invoice due date. Service interrupted for nonpayment is subject to a €100 reconnect charge, if requested within 24 hours of termination. Accounts that are not collectable by CSpace Hostings may be turned over to an outside collection agency for collection. If your account is turned over for collection, you agree to pay the company a "Processing and Collection"
    Fee of not less than €50 nor more than €150. If you desire to cancel your account, please follow the proper procedure to do this as outlined in this TOS.

  • Account Setup


    As soon as the payment is made, Fraud verification is initiated. If the e-mail address entered by you while signup was incorrect, you would have to raise a ticket to our sales team requesting to re-send the e-mail to the correct e-mail address. CSpace Hostings scans every incoming order against two well-known Fraud verification sources, either with a risk of 50% or more are marked fraud. By law and regulation we require billing address to match with Client IP and address for tax purposes. Orders through IP Address manipulation services such Proxy, VPN or Tor or mismatch address are marked fraud by the system.
    The maximum service deployment time with standard Service Level Agreement for:

  • Dedicated Server are setup within 72 hours.
  • VPS are setup within 12 hours.
  • Shared Hosting accounts are setup within 12 hours .
  • Domain Registrations are subject to manual verification delaying the Registration/Renewal/Transfer of Domains are setup within 12 hours.
  • Colocation and IP Transit are setup within 15 business days.

  • Suspension of Services


  • CSpace Hostings reserves the right to suspend network access to CUSTOMER if in the judgment of the CSpace Hostings network administrators the customer service is the source or target of the violation of any of the other terms of the AUP or for any other reason which CSpace Hostings chooses. If inappropriate activity is detected, all accounts of the customer in question will be deactivated until an investigation is complete. Prior notification to the customer is not assured. In extreme cases, law enforcement will be contacted regarding the activity. CUSTOMER will not be credited for the time services were suspended.
  • CSpace Hostings reserves the right to amend its policies at any time. All Sub-Networks, resellers and customers of CSpace Hostings must adhere to the policies. Failure to follow any term or condition will be grounds for immediate cancellation. You will be held responsible for the actions of your clients in the matter described on these terms and conditions. Therefore, it is in your best interest to implement a similar or stricter terms and conditions or otherwise called acceptable terms of Use Policy.

  • Termination


  • In the event that (a) CUSTOMER fails to pay any undisputed sum of money within seven (7) days after its receipt of notice of nonpayment from CSpace Hostings; (b) CUSTOMER fails to perform any of its obligations under the Agreement, provided such failure is not remedied within fourteen (14) days after CUSTOMER receipt of notice from CSpace Hostings; (c) CUSTOMER makes any general assignment for the benefit of creditors; (d) the filing by or against CUSTOMER of a petition to have CUSTOMER adjudged a bankrupt, unless, in the case of a filing against CUSTOMER, such filing is vacated, stayed or dismissed within thirty (30) days after filing; or (e) the appointment of a trustee or receiver to take possession of all or substantially all of CUSTOMER assets, provided that such appointment is not vacated or discharged within thirty (30) days, CSpace Hostings may terminate the Agreement by written notice to CUTOMER.
  • No termination or expiration of the Agreement shall affect either party’s rights or obligations with respect to any at that time existing defaults under the Agreement or such Annex or the obligation to make any payment for Services rendered prior to the date of termination or expiration.
  • Upon expiration or termination of this Agreement all of CUSTOMER payment obligations under this Agreement will become due in full immediately and within ten (10) days, CUSTOMER will remove all of CUSTOMER Equipment and any other property from CSpace Hostings’s premises and return the Co-location space to CSpace Hostings in the same condition as it was prior to CUSTOMER installation. If CUSTOMER does not remove such property within the ten (10) day period, CSpace Hostings, at its option and at CUSTOMER expense, may remove and store any and all such property, return such equipment to the CUSTOMER, or dispose of such equipment without liability for any related damages. In addition, CSpace Hostings reserves the right to hold any CUSTOMER equipment until it has received payment in full. CSpace Hostings reserves the right to sell any CUSTOMER Equipment in case CUSTOMER does not pay the invoice within two (2) months after the invoice date.
  • If CSpace Hostings terminates the Agreement during the initial or renewed term, CUSTOMER shall pay to CSpace Hostings, as liquidated damages and not as a penalty, an amount equal to the sum of (a) one hundred percent (100%) of the total amount of services fees that would have become due during the period from the effective termination date to the expiration date of the initial or renewed term, and (b) the amount of any services fee discounts granted to CUSTOMER by CSpace Hostings in consideration of the length of the Initial Term (“Termination Charge”). CUSTOMER shall pay the termination charge to CSpace Hostings within five (5) business days of the termination date. CUSTOMER payment of the termination charge shall not prevent or limit CSpace Hostings from pursuing any and all other available remedies against CUSTOMER.
  • CSpace Hostings may temporarily deny service or terminate this agreement upon the failure of CUSTOMER to pay charges when due. Such termination or denial will not relieve subscriber of responsibility for the payment of all accrued charges, plus reasonable interest and any collection fees.
  • CUSTOMER acknowledges that the service provided is of such a nature that service can be interrupted for many reasons other than the negligence of the CSpace Hostings and that damages resulting from any interruption of service are difficult to ascertain. Therefore, CUSTOMER agrees that CSpace Hostings shall not be liable for any damages arising from such causes beyond the direct and exclusive control of CSpace Hostings. CUSTOMER further acknowledges that CSpace Hostings liability for its own negligence may not in any event exceed an amount equivalent to charges payable by CUSTOMER for services during the period damages occurred. In no event shall the CSpace Hostings be liable for any special or consequential damages, loss or injury.

  • Service Cancellation


    If you no longer want to use our service(s) and wish to cancel them, you can cancel any services from CSpace Hostings anytime from the Client Area prior to 7 day(s) from the Renewal Date and request Cancellation through the Billing Portal (Self-Service Center). CSpace Hostings reserves right to cancel/terminate customer's services and order under this contract at anytime without further obligation.


    Refunds and Disputes


  • If the Customer is not 100% satisfied with their purchase, within 1 day from the purchase date, the Supplier will fully refund the cost of the Customers order.
  • The Customer is not entitled for a refund when the service has been delivered for a period longer than 48 hours except services that are covered under the 30 Days Money Back Guarantee.
  • The Customer is not entitled for a refund when he or she is in violation with the the Acceptable Usage Policy
  • All payments to CSpace Hostings are non-refundable. This includes the one time setup fee and subsequent charges regardless of usage. All overcharges or billing disputes must be reported within 60 days of the time the dispute occurred. If you dispute a charge to your credit card issuer that, in CSpace Hostings sole discretion is a valid charge under the provisions of the TOS and/or AUP, you agree to pay CSpace Hostings an "Administrative Fee" of not less than €50/$50/₹4,000 and not more than €150/$200/₹15,000.
  • CSpace Hostings Offers 30 days Money back Guarantee on Shared Hostingm you can request this by raising a ticket to the Billing Department and seeking refund/credit against services.
  • Starting from 1st February 2021 CSpace Hostings has extended 30 days Money back Garantee on SSD VPS and Storage/Backup VPS.

  • Backups


    While “CSpace Hostings” operates a backup system that creates and stores backups every 24 hours for cPanel web hosting and cPanel Reseller package, it should be noted that these backups are for administrative purposes. “CSpace Hostings” makes no guarantee to the completeness and quality of each backup made or to the availability of each backup set. It is the responsibility of the client to make full and regular backups of their account and hereby disclaim “CSpace Hostings” for any liability for any lost or damaged data, even if the cause of that loss is found to be the responsibility of “CSpace Hostings”. Other Services are not covered with CSpace Hostings backups unless purchased additionally.


    Disclosure to law enforcement


    The AUP specifically prohibits the use of our service for illegal activities. Therefore, CUSTOMER agrees that CSpace Hostings may disclose any and all subscriber information including assigned IP numbers, account history, account use, etc. to any law enforcement agent who makes a written request with consent or notification from the subscriber. In addition CSpace Hostings shall have the right to terminate all service set forth in this agreement.


    Sanction statement


  • CSpace Hostings has taken measurements to comply with the applicable anti-money laundering and anti- terrorism laws, rules and regulations in the jurisdiction in which it operates. This includes the sanctions introduced by the European Union (EU) and, if applicable, the programs managed by the Office of Foreign Assets Control (OFAC, part of the U.S. Treasury Department) and the local sanction laws in force.
  • Besides external sanction laws and regulations, there are additional regulations in place of a number of sanctioned countries. Specific customer orders and transactions (including payments) are not authorised under these regulations. These sanctioned countries are subject to far-reaching EU and/or OFAC sactions regimes. Countries currently subject to additional regulations include Cuba, Iran, Myanmar, North Korea, Sudan, South-Sudan and Syria.

  • Performance


  • CSpace Hostings shall, to the best of its ability, do its utmost to perform the services with due care and, where appropriate, in accordance with the agreements and procedures recorded in writing with the Customer. All of CSpace Hostings services shall be performed on the basis of a best efforts obligation, unless and insofar as CSpace Hostings has expressly promised a result in the written Agreement and the result concerned has also been described with sufficient definiteness. Any agreements concerning a service level must always be expressly agreed in writing.
  • If it has been agreed that the services shall be provided in stages, CSpace Hostings shall be entitled to postpone the start of the services, which are part of a stage, until CUSTOMER has approved the results of the preceding stage in writing.
  • In performing the services, CSpace Hostings shall only be obliged to follow timely and sensible instructions of CUSTOMER if this has been expressly agreed in writing. CSpace Hostings shall not be required to follow instructions which change or supplement the substance or scope of the agreed services; if such instructions are followed, however, the work in question shall be compensated pursuant to Section
  • If a particular person has entered into a services agreement with a view to performance, the Supplier shall always be entitled to replace this person after consultation with CUSTOMER with one or more other persons with the same qualifications.
  • In the absence of an expressly agreed invoicing schedule, all amounts relating to services provided by CSpace Hostings shall be owed once every calendar month in advance.

  • Equipment


  • CUSTOMER Equipment is defined as all the Equipment, including hardware, software, applications, scripting, data(bases) and wiring, that is placed in the Rackspace for CUSTOMER (the “Equipment”). CUSTOMER can use the Rackspace by placing Equipment that is property of CUSTOMER (the “Co-located equipment”) or Equipment that is property of CSpace Hostings (the “Dedicated equipment”).
  • CSpace Hostings can lease and/or sell Equipment to CUSTOMER. Lease will be based on an Operational Lease; the Equipment will remain CSpace Hostings’s property. In case CSpace Hostings sells the Equipment to CUSTOMER, the Equipment will remain CSpace Hostings’s property until the applicable invoice for that Equipment has been fully paid for.
  • Co-located equipment, including all backup media and third-party data/licenses placed on the equipment, shall remain the property of CUSTOMER.
  • Any malfunction to Equipment being leased by CSpace Hostings to CUSTOMER is covered by CSpace Hostings warranty. CSpace Hostings will replace the malfunctioning hardware; CSpace Hostings cannot guarantee the replacement time.
  • Any malfunction to Equipment being sold by CSpace Hostings to CUSTOMER is covered by CSpace Hostings limited hardware warranty as defined in this Chapter. CSpace Hostings will replace the malfunctioning hardware at no cost if the malfunction occurs within the warranty period. CSpace Hostings cannot guarantee the replacement time. In case the replacement part cannot be supplied anymore due to shortage and/or end-of-sale, CSpace Hostings shall provide a substitute.
  • CUSTOMER is responsible for the maintenance and support of CUSTOMER Equipment.
  • Equipment shall be rack-mountable, meet industry standards and comply with any applicable safety and other legislation and regulations.

  • Damage


  • CUSTOMER shall be responsible to reimburse CSpace Hostings for the costs of any damage or destruction caused by CUSTOMER, its employees, agents, contractors, or invitees to the Equipment that is not CUSTOMER property. CUSTOMER shall reimburse all such amounts to CSpace Hostings within five (5) business days of receipt of an invoice for such charges from CSpace Hostings. Notwithstanding the foregoing, CUSTOMER shall not be responsible for reasonable wear and tear to the Equipment.
  • CUSTOMER shall immediately report any damage or destruction to Equipment that is not CUSTOMER property to CSpace Hostings.
  • CSpace Hostings shall not be liable to CUSTOMER for damage or destruction to CUSTOMER’s Equipment unless such damage or destruction is caused by the gross negligence or willful misconduct of CSpace Hostings, its employees, contractors, or invitees.
  • Any damage or destruction caused by CUSTOMER, its employees, contractors, or invitees to the Equipment that is CUSTOMER property will not be covered by CSpace Hostings’s limited hardware warranty. Notwithstanding the foregoing, breakdown due to reasonable wear and tear to the Equipment shall be covered by CSpace Hostings’s limited hardware warranty.

  • Modification and additional work


  • If, at the request of or with prior consent from CUSTOMER, CSpace Hostings has performed work or rendered other performance that goes beyond the substance or scope of the agreed services, CUSTOMER shall pay for that work or performance. Expanding or modifying a system analysis, a design or specifications shall also constitute additional work. The supplier shall never be obliged to satisfy such a request, and it may require that a separate written agreement be concluded.
  • CUSTOMER accepts that work or performance may affect the agreed or expected time of completion of the services and the mutual responsibilities of CUSTOMER and CSpace Hostings. The fact that additional work (or the demand for it) arises during execution of the Agreement shall never be a ground for CUSTOMER to rescind or terminate the Agreement.
  • Insofar as a set price has been agreed for the services, CSpace Hostings shall, upon request, inform CUSTOMER in writing in advance about the financial consequences of the extra work or performance.

  • Confidentiality


  • CUSTOMER and CSpace Hostings hereby agree that if either party provides confidential information to the other party (“Confidential Information"), such Confidential Information shall be held in confidence by the receiving party for no less than one (1) year after the date of its disclosure, and shall be afforded the same care and protection afforded to the receiving party’s own confidential information (which in any case shall be not less than reasonable care) to avoid disclosure to or unauthorized use by any third party. The terms and conditions of the Agreement constitute Confidential Information, and all information, including, without limitation, technical, financial, business, marketing, sales, employee, rate, traffic routing, and traffic flow information disclosed by either party to the other in connection with the Agreement shall be Confidential Information.
  • All data provided by CSpace Hostings to CUSTOMER regarding the performance of CSpace Hostings Network shall also be Confidential Information. Confidential Information shall remain the property of the disclosing party, shall be used by the receiving party only for the intended purpose, and, if in writing, shall be returned to the disclosing party or destroyed after the receiving party’s need for it has expired or upon the request of the disclosing party. Confidential Information shall not be reproduced except to the extent necessary to accomplish the purpose for which it was disclosed.
  • Section 1 above shall not apply to any Confidential Information which (a) becomes publicly available other than through the recipient, (b) is independently developed by the receiving party; (c) becomes available to the receiving party without restriction from a third party; (d) is disclosed with the prior written consent of the disclosing party; or (e) is required to be disclosed by a governmental or judicial law, order, rule or regulation; provided, however, that the receiving party required to make a disclosure pursuant to this subsection (e) shall promptly inform the other party of the requirements of such disclosure.
  • Notwithstanding section 1 and 2 above, either party may disclose Confidential Information to its employees, agents, and legal, financial, and accounting advisors to the extent necessary or appropriate in connection with the negotiation and performance of the Agreement or its obtaining of financing, provided, however, that each such employee, agent or advisor is notified of the confidential nature of the Confidential Information and is subject to or agrees to be bound by similar restrictions on its use and disclosure.

  • Intellectual Property; Restrictions on Advertising


  • The parties agree that all patents, trademarks, copyrights, trade secrets, registered designs, service marks, trade names, logos, inventions and all other intellectual property shall remain the property of the person or party originating the same and that nothing in the Agreement grants either party any ownership, license, or any other right, either express or implied, in the intellectual property of the other.
  • Neither party shall use any advertising, sales, promotions, or other publicity materials (including, without limitation, publicity regarding the Agreement) that use the other party’s name, logo, trademarks or service marks without the prior written approval of the other party, which may be granted or withheld in that party’s sole discretion.

  • Cooperation by CUSTOMER


  • CUSTOMER shall always furnish the CSpace Hostings in a timely manner with all data or information which is useful and necessary to execute the Agreement properly and provide full cooperation, including furnishing access to its buildings. If CUSTOMER utilizes its own employees in cooperating in the execution of the Agreement, these employees shall possess the necessary know-how, experience, abilities and characteristics.
  • CUSTOMER shall bear the risk of selecting, using and applying in its organization the equipment, software, websites, databases and other products and materials and the services to be provided by the CSpace Hostings, and shall also be responsible for the monitoring and security procedures and proper system management.
  • If CUSTOMER furnishes software, websites, materials, databases or data to the CSpace Hostings on a data carrier, this carrier shall meet the specifications prescribed by the CSpace Hostings.
  • If CUSTOMER does not provide the CSpace Hostings with the data, equipment, software or employees necessary to execute the Agreement, or does not provide this in a timely manner or in accordance with the agreements made, or if CUSTOMER otherwise does not fulfill its obligations, CSpace Hostings shall be entitled to suspend execution of the Agreement in whole or in part, and it shall be entitled to charge the ensuing expenses in accordance with its usual rates, all of this without prejudice to CSpace Hostings right to exercise any other legal right.
  • In the event that employees of CUSTOMER perform work on-site at CSpace Hostings, CSpace Hostings shall provide the facilities reasonably desired by those employees free of charge, such as a working space with computer and telecommunications facilities. The working space and facilities shall comply with all applicable statutory and other requirements and provisions concerning working conditions.
  • CUSTOMER shall indemnify CSpace Hostings against claims by third parties, including the CSpace Hostings employees, who, in executing the Agreement, suffer injury which is the result of acts or omissions by CUSTOMER or of unsafe situations in its organization.
  • If telecommunications facilities are used in executing the Agreement, CSpace Hostings shall be entitled to assign access or identification codes to CUSTOMER. CSpace Hostings may change the assigned access or identification codes. CUSTOMER shall treat the access codes as confidential and with due care and shall only disclose them to authorized employees. CSpace Hostings shall never be liable for damage or expenses resulting from misuse of access or identification codes.
  • CUSTOMER will comply with the obligations as set forth in the AUP and TOS which is published on the website of CSpace Hostings at https://cspacehostings.com/terms
  • CUSTOMER will keep in full force and effect during the term of the Agreement appropriate levels of insurance.
  • CUSTOMER shall verify their email address and setup 2-Factor Authentication for account security.

  • Licenses, use of service


  • CUSTOMER warrants and represents that it has obtained all of the necessary licenses, permits, and authorizations to use and/or resell the Services (the “Licenses”), and shall maintain the Licenses throughout the term of the Agreement. In the event that CUSTOMER fails to maintain any of the Licenses, CSpace Hostings may terminate the Agreement upon written notice to CUSTOMER.
  • CUSTOMER shall not use the Services for any improper or unlawful purpose, nor permit any third party to do so. CUSTOMER will cooperate in any investigation of CUSTOMER alleged illegal use of CSpace Hostings facilities or other networks accessed through CSpace Hostings. If CUSTOMER fails to cooperate with any such investigation, CSpace Hostings may suspend CUSTOMER’s Service. Additionally, CSpace Hostings may modify or suspend CUSTOMER Service in the event of illegal use of the Network or as necessary to comply with any law or regulation.
  • CUSTOMER will at all times comply with and conform its use of the Service to the CSpace Hostings AUP and CSpace Hostings Anti-SPAM Policy (set forth at CSpace Hostings’s website), as updated from time to time.
  • CSpace Hostings may update the CSpace Hostings AUP and/or CSpace Hostings Anti-SPAM Policy from time to time by posting such updates on CSpace Hostings’s website. References herein to the CSpace Hostings AUP and/or CSpace Hostings Anti-SPAM Policy shall mean the most updated version of such policies or procedures posted on the website of CSpace Hostings.
  • CUSTOMER acknowledges that CSpace Hostings exercises no control over and accepts no responsibility for the content of information and communications, in whatever form, transmitted by CUSTOMER over CSpace Hostings Network.
  • CUSTOMER use of any information obtained via the network is at CUSTOMER own risk. CSpace Hostings specifically denies any responsibility for the accuracy or quality of information obtained through its services.
  • In the event of any breach of CSpace Hostings policies by CUSTOMER, in addition to any other remedies available to CSpace Hostings, CSpace Hostings shall have the right to suspend the applicable Services without prior notice to CUSTOMER; provided that CSpace Hostings notifies CUSTOMER of the suspension and its justification therefore as soon as practicable after the commencement of the suspension. Such notice shall also serve as notice of breach of the Agreement, and CSpace Hostings may continue the suspension until (a) CUSTOMER cures the breach, or (b) CSpace Hostings terminates the Agreemen
  • t. CUSTOMER hereby indemnifies and holds CSpace Hostings harmless against any loss, claim, fine, damage, cost or expense caused by CUSTOMER breach.
  • CUSTOMER non-adherence to the Agreement and/or any CSpace Hostings policy might require a direct action by CSpace Hostings in order to minimize the damage. CSpace Hostings shall charge CUSTOMER for these actions.

  • Support boundaries


    CSpace Hostings provides 24 x 7 emergency and normal workday support based on the CE(S)T time zone to our subscribers. The following is our guidelines when providing support: CSpace Hostings provides support related to your server or virtual site physical functioning. CSpace Hostings does not offer tech support for application specific issues such as cgi programming, html or any other such issue. CSpace Hostings does not provide technical support for YOUR customers. Exceptions to Support boundaries based on Service Level Agreement per customer.


    Indemnification


  • CSpace Hostings wishes to emphasize that in agreeing to the CSpace Hostings Acceptable Use Policy (AUP) and Terms of Service (ToS), customer indemnifies CSpace Hostings for any violation of the Acceptable Use Policy (AUP) and Terms of Service (ToS) that results in loss to CSpace Hostings or the bringing of any claim against CSpace Hostings by any third-party. This means that if CSpace Hostings is sued because of a direct or indirect customer activity, the customer will pay any damages awarded against CSpace Hostings, plus all costs and attorney's fees.
  • CSpace Hostings takes no responsibility for any material input by others and not posted to the CSpace Hostings Network by CSpace Hostings. CSpace Hostings is not responsible for the content of any other websites linked to the CSpace Hostings Network; links are provided as Internet navigation tools only. CSpace Hostings disclaims any responsibility for any such inappropriate use and any liability to any person or party for any other person or party's violation of this policy.
  • CSpace Hostings is not responsible for any damages your business may suffer. CSpace Hostings does not make implied or written warranties for any of our services. CSpace Hostings denies any warranty or merchantability for a specific purpose. This includes loss of data resulting from delays, non-deliveries, wrong delivery, and any and all service interruptions caused by CSpace Hostings.
  • CSpace Hostings total liability for imputably failing to perform the Agreement shall be limited to compensating direct damage, up to at most the amount of the price (exclusive of VAT) stipulated for that Agreement. If the Agreement is primarily a continuing performance agreement with a term exceeding one year, the price stipulated for the Agreement shall be set at the total of the fees (exclusive of VAT) stipulated for one year. The total compensation for direct damage shall not, however, in any case exceed EUR 5,000 (five thousand euros).
    "Direct damage" shall solely mean:
    1. reasonable expenses which CUSTOMER would have to incur to make CSpace Hostings performance conform to the Agreement; this alternative damage shall not be compensated, however, if the Agreement is rescinded by or at the suit of CUSTOMER;
    2. reasonable expenses which CUSTOMER has incurred out of necessity to keep its old system or systems and related faculties operating longer because CSpace Hostings did not provide delivery on a firm delivery date which was binding for it, minus any savings resulting from the delay in delivery;
    3. reasonable expenses incurred to determine the cause and scope of the damage, insofar as the determination relates to direct damage within the meaning of these General Terms and Conditions;
    4. reasonable expenses incurred to prevent or mitigate damage, insofar as CUSTOMER demonstrates that these expenses resulted in mitigation of direct damage within the meaning of these General Terms and Conditions.
  • CSpace Hostings liability for injury or damage through death or bodily injury or because of material damage to objects shall never exceed EUR 1,000 (one thousand euros).
  • CSpace Hostings liability because of an imputable failure to perform an Agreement shall in all cases only arise if CUSTOMER immediately and properly provides a written notice of default to CSpace Hostings, with a reasonable time period for remedying the failure being given and CSpace Hostings still imputably failing to perform its obligations after that period as well. The notice of default must contain a description of the breach, which is as complete and specific as possible, so that CSpace Hostings can respond adequately.
  • For any right to damages to exist, CUSTOMER must always report the damage or injury to the CSpace Hostings in writing as soon as possible after it occurs. Any claim to damages against CSpace Hostings shall be extinguished by the mere lapse of 24 months after the claim arises.
  • CUSTOMER shall indemnify CSpace Hostings against all third-party claims because of product liability ensuing from a defect in a product or system which has been delivered by CUSTOMER to a third party and which partly consisted of equipment, software or other materials delivered by CSpace Hostings, except if and insofar as CUSTOMER proves that the damage or injury was caused by that equipment, software or other materials.
  • The provisions in this Article shall also apply for the benefit of all legal and natural persons utilized by CSpace Hostings in executing the Agreement.
  • CSpace Hostings cannot be held liable for any loss of data, loss of revenue or profits, or any incidental, contingent, or consequential damages, howsoever caused either prior, during a service or upon completion of a service. CSpace Hostings liability of any kind with respect to services undertaken, including any negligence on its part, shall be limited to the monthly contract price for the services provided.

  • Force Majeure


    Neither party shall be liable for any delay or failure in performance of one or more of its obligations due to an event of force majeure, nor its performance of such obligation or obligations shall be excused and extended for the period of such delay. Force majeure shall include, without limitation, acts of God; fire; flood; earthquake; storm; lightning; epidemic; material shortages, unavailability, or delay in delivery not resulting from the responsible party's failure to timely place orders therefore; equipment failures; lack of or delay in transportation; war; outbreak of hostilities (whether or not war is declared); civil disorder; riots; strikes, or other labor unrest; sabotage; failure of a third party to grant a required right-of-way permit, assessment or other required authorization; acts or omissions of vendors or CSpace Hostings; changes in law, regulation or government policy; or any other cause beyond the commercially reasonable control of such party. The party claiming relief shall promptly notify the other in writing of any force majeure event expected to cause a delay or failure in performance and the cessation or termination of said event.


    Credit


    Prior to receiving Services pursuant to a Services Annex, CUSTOMER shall, at CSpace Hostings request, complete CSpace Hostings credit application form and return it to CSpace Hostings. CSpace Hostings’s receipt and approval of CUSTOMER completed credit application, and the establishment of credit terms governing CUSTOMER payment for Services, are conditions precedent to CSpace Hostings’s provision of the relevant Services. CSpace Hostings may terminate the applicable Annex upon written notice to CUSTOMER if it rejects CUSTOMER credit application in its sole discretion. CUSTOMER agrees to be subject to CSpace Hostings’s present and continuing credit policies and procedures.


    Assignment


    CUSTOMER shall not assign the Agreement or any Annex without the prior written consent of CSpace Hostings, which may not be unreasonably withheld. Notwithstanding the foregoing, CUSTOMER shall not be relieved of its obligations under the Agreement, these General Terms and Conditions by its assignment of the same. CSpace Hostings may assign the Agreement to any third party or CSpace Hostings affiliate upon written notice to CUSTOMER.


    Survival


    The Parties respective representations, warranties, and covenants, together with obligations of indemnification, confidentiality and limitations on liability will survive the expiration, termination or rescission of these General Terms and Conditions and continue in full force and effect.


    Notices


  • Unless otherwise provided herein all notices concerning the Agreement and each Annex shall be addressed to the CUSTOMER.
  • Unless otherwise provided herein, notices shall be sent by email, registered or certified mail, return receipt required, or by prepaid commercial overnight delivery service, or by facsimile transmission confirmed by the receiving party and shall be deemed served or delivered to the addressee when received or refused at the address for notice specified above.

  • Miscellaneous


  • No waiver of any of the terms of the Agreement or of any breach of those terms shall be effective unless such waiver is in writing and signed by the waiving party. No waiver of any breach shall be deemed to be a waiver of any other or subsequent breach.
  • All provisions contained under the Agreement shall be applied to the extent permitted by applicable law, and if any term, covenant or condition contained in the Agreement shall, to any extent, be invalid or unenforceable in any respect under the laws governing the Agreement, the remainder of the Agreement or the relevant Annex shall not be affected thereby, and each term, covenant or condition thereof shall be valid and enforceable to the fullest extent permitted by law.
  • CUSTOMER must at all times provide us with, and keep current, good contact information of customer. E-mail, telephone and postal address contacts are used, in that order of preference. A waiver by the CSpace Hostings of any breach of any provision of this agreement by CUSTOMER shall not operate as or be construed as a continuing or subsequent waiver thereof or as a waiver of any breach of any other provision thereof. CUSTOMER shall not transfer or assign this agreement without the prior written consent of the CSpace Hostings. CSpace Hostings may update the agreement at anytime without consent from or notice to CUSTOMER.

  • IP address assignment


  • If CSpace Hostings assigns Customer an Internet Protocol address for Customer use, the right to use that Internet Protocol address shall belong only to CSpace Hostings and the customer shall have no right to use that Internet Protocol address except as permitted by CSpace Hostings in its sole discretion in connection with the services, during the term of this agreement.
  • CSpace Hostings shall maintain and control ownership of all Internet Protocol numbers and addresses that may be assigned to customers by CSpace Hostings, CSpace Hostings reserves the right to change or remove any and all such Internet Protocol numbers and addresses, in its sole and absolute discretion.

  • Bandwidth usage


    CSpace Hostings will monitor CUSTOMER bandwidth usage.
  • CUSTOMER agrees that bandwidth shall not exceed the number of terabytes per month for the Services ordered by Customer and agrees any exceeding usage will be charged to CUSTOMER accordingly.
  • CSpace Hostings shall have the right to take corrective action if CUSTOMER bandwidth usage exceeds the greed usage. Such corrective action may include the assessment of additional charges, disconnection or discontinuance of any and all Services, or termination of this Agreement, which actions may be taken is in CSpace Hostings sole and absolute discretion. If CSpace Hostings takes any corrective action under this section, customer shall not be entitled to a refund of any fees paid in advance prior to such action. In the event that a customer exceeds the included allocation, CSpace Hostings may, at its sole discretion, collect a deposit, in an amount determined by CSpace Hostings, against customer's credit card on file with CSpace Hostings.

  • Notification of violation


  • CSpace Hostings is under no duty to look at each customer their activities to determine if a violation of the AUP has occurred, nor do we assume any responsibility through our AUP to monitor or police Internet- related activities.
  • Any customer who CSpace Hostings determines to have violated any element of this Acceptable Use Policy, shall receive an email, warning them of the violation. The service may be subject at CSpace Hostings discretion to a suspension pending a customer agreement in writing, to refrain from any further violations.

  • Responsibility for content


  • CUSTOMER is solely responsible for the content stored on and transmitted over services provided to CUSTOMER.
  • If CUSTOMER is providing live video broadcasting services, CUSTOMER has to handle all DMCA and abuse complaints related with these services. In most CSpace Hostings location DMCA is ignored since it is not applicable to European Laws.


  • Acceptable Use Policy


    Guidelines of CSpace Hostings AUP:

  • Ensure a reliable service to our customers;
  • Ensure security and privacy of our systems and network, as well as the networks and systems of others;
  • Comply with existing laws;
  • Maintain our reputation as a responsible service provider;
  • Encourage responsible use of the Internet and discourage activities which reduce the usability and value of Internet services;
  • Preserve the value of Internet resources as a conduit for free expression and exchange of information;
  • Preserve the privacy and security of individual users.

  • CSpace Hostings intends to provide its customers access to everything the Internet has to offer. While the CSpace Hostings is firmly committed to the principles of free speech, certain activities that may be damaging to the resources of both the CSpace Hostings and the Internet cannot be permitted under the guise of free speech. The resources of the CSpace Hostings and the Internet are limited, and abuse of these resources by one user has a negative impact on the entire community.
    We do not routinely monitor the activity of accounts except for measurements of system utilization and the preparation of billing records. However, in our efforts to promote good citizenship within the Internet community, we will respond appropriately if we become aware of inappropriate use of the services we supplied.
    You may not use your dedicated rack or virtual site to publish material, which CSpace Hostings determines, at its sole discretion, to be unlawful, indecent or objectionable. For purposes of this policy, "material" refers to all forms of communications including narrative descriptions, graphics (including photographs, illustrations, images, drawings, logos), executable programs, video recordings, and audio recordings.
    If an CSpace Hostings account is used to violate the Acceptable Use Policy or our TOS, we reserve the right to terminate your service without notice. We prefer to advise customers of inappropriate behavior and any necessary corrective action, however, flagrant violations of the Acceptable Use Policy will result in immediate termination of service. Our failure to enforce this policy, for whatever reason, shall not be construed as a waiver of our right to do so at any time.


    1. The following constitutes violations of this AUP

      • 1.1 Illegal use
        CSpace Hostings services may not be used for illegal purposes, or in support of illegal activities. CSpace Hostings reserves the right to cooperate with legal authorities and/or injured third parties in the investigation of any suspected crime or civil wrongdoing.

      • 1.2 Harm to minors
        Use of the CSpace Hostings service to harm, or attempt to harm, minors in any way, including, but not limited to child pornography.

      • 1.3 Threats
        Use of the CSpace Hostings service to transmit or receive any material (by e-mail, uploading, posting or otherwise) that threatens or encourages bodily harm or destruction of property.

      • 1.4 Harassment
        Use of the CSpace Hostings service to transmit or receive any material (by e-mail, uploading, posting or otherwise) that harasses another.

      • 1.5 Fraudulent activity
        Use of CSpace Hostings service to make fraudulent offers to sell or buy products, items, or services, or to advance any type of financial scam such as "pyramid schemes," "ponzi schemes," and "chain letters."

      • 1.6 Forgery or impersonation
        Adding, removing or modifying identifying network header information in an effort to deceive or mislead is prohibited. Attempting to impersonate any person by using forged headers or other identifying information is prohibited. The use of anonymous remailers or nicknames does not constitute impersonation.

      • 1.7 Unsolicited commercial e-mail / Unsolicited bulk e-mail (SPAM)
        Use of the CSpace Hostings service to transmit any unsolicited commercial or unsolicited bulk e-mail is expressly prohibited. Violations of this type will result in the immediate termination of the offending CSpace Hostings account. Anyone hosting websites or services on their server that support spammers or cause any of our IP space to be listed in any of the various Spam Databases will have their server immediately removed from our network. The server will not be reconnected until such time that you agree to remove ANY and ALL traces of the offending material immediately upon reconnection and agree to allow us access to the server to confirm that all material has been COMPLETELY removed. Severe violations may result in immediate and permanent removal of the server from our network without notice to the customer. Any server guilty of a second violation WILL be immediately and permanently removed from our network without notice.

        CSpace Hostings takes a zero tolerance approach to the sending of Unsolicited Commercial Email (UCE) or SPAM over our network. Very simply this means that customers of CSpace Hostings may not use or permit others to use our network to transact in UCE. Customers of CSpace Hostings may not host, or permit hosting of, sites or information that is advertised by UCE from other networks. In addition, it is not acceptable to transmit bulk email through remote SOCKS, HTTP or other similar proxies who in turn make a SMTP (TCP port 25) connection to the destination mail servers. This technique may result in account suspension or termination. Violations of this policy carry severe penalties, including termination of service. In order to prevent unnecessary blacklisting due to spam we reserve the right to occasionally sample bulk email being sent from servers.

        Violation of CSpace Hostings SPAM policy will result in severe penalties. Upon notification of an alleged violation of our SPAM policy, CSpace Hostings will initiate an immediate investigation (within 48 hours of notification). During the investigation, CSpace Hostings may restrict customer access to the network to prevent further violations. If a customer is found to be in violation of our SPAM policy, CSpace Hostings may, at its sole discretion, restrict, suspend or terminate customer's account. Further, CSpace Hostings reserves the right to pursue civil remedies for any costs associated with the investigation of a substantiated policy violation. CSpace Hostings will notify law enforcement officials if the violation is believed to be a criminal offense.

        Anyone hosting websites or services on their server that support spammers or cause any of our IP space to be listed in any of the various Spam Databases will have their server immediately removed from our network. The server will not be reconnected until such time that you agree to remove any and all traces of the offending material immediately upon reconnection and agree to allow us access to the server to confirm that all material has been completely removed. Severe violations may result in immediate and permanent removal of the server from our network without notice to the customer. Any server guilty of a second violation will be immediately and permanently removed from our network without notice.

        First violations of this policy will result in an "Administrative Fee" of €250/$300/₹25,000 and your account will be reviewed for possible immediate termination. A second violation will result in an "Administrative Fee" of €500/$750/₹40,000 and immediate termination of your account. Users who violate this policy agree that in addition to these "Administrative" penalties, they will pay "Research Fees" not to exceed €175/$200/₹20,000 per hour that CSpace Hostings personnel must spend to investigate the matter.
        As our customers are ultimately responsible for the actions of their clients over the CSpace Hostings network, it is advisable that customers develop a similar policy for their clients.

      • 1.8 E-mail / News Bombing
        Malicious intent to impede another person's use of electronic mail services or news will result in the immediate termination of the offending CSpace Hostings account.

      • 1.9 E-mail / Message Forging
        Forging any message header, in part or whole, of any electronic transmission, originating or passing through the CSpace Hostings service is in violation of this AUP.

      • 1.10 Usenet SPAM
        CSpace Hostings has a zero tolerance policy for the use of its network for the posting of messages or commercial advertisements, which violate the rules, regulations, FAQ or charter of any newsgroups or mailing list. Commercial messages that are appropriate under the rules of a newsgroup or mailing list or that are solicited by the recipients are permitted.

      • 1.11 Unauthorized access
        Use of the CSpace Hostings service to access, or to attempt to access, the accounts of others, or to penetrate, or attempt to penetrate, security measures of CSpace Hostings or another entity's computer software or hardware, electronic communications system, or telecommunications system, whether or not the intrusion results in the corruption or loss of data, is expressly prohibited and the offending CSpace Hostings account is subject to immediate termination.

      • 1.12 Copyright or trademark infringement
        Use of the CSpace Hostings service to transmit any material (by e-mail, uploading, posting or otherwise) that infringes any copyright, trademark, patent, trade secret or other proprietary rights of any third party, including, but not limited to, the unauthorized copying of copyrighted material, the digitization and distribution of photographs from magazines, books, or other copyrighted sources, and the unauthorized transmittal of copyrighted software. Infringement of Copyright, Patent, Trademark, Trade Secret, or Intellectual Property Right Distribution and/or posting of copyrighted or the aforementioned infringements will not be tolerated.

      • 1.13 Collection of personal data
        Use of the CSpace Hostings service to collect, or attempt to collect, personal information about third parties without their knowledge or consent will result in a termination of the offending CSpace Hostings account.

      • 1.14 Network disruptions and unfriendly activity
        Use of the CSpace Hostings service for any activity which affects the ability of other people or systems to use CSpace Hostings Services or the Internet. This includes "denial of service" (DOS) attacks against another network host or individual user. Interference with or disruption of other network users, services or equipment is prohibited. It is the member's responsibility to ensure that their network is configured in a secure manner. A Subscriber may not, through action or inaction, allow others to use their network for illegal or inappropriate actions. A Subscriber may not permit their network, through action or inaction, to be configured in such a way that gives a third party the capability to use their network in an illegal or inappropriate manner. Unauthorized entry and/or use of another company and/or individual's computer system will result in immediate account termination. CSpace Hostings will not tolerate any subscriber attempting to access the accounts of others, or penetrate security measures of other systems, whether or not the intrusion results in corruption or loss of data.

      • 1.15 Fraud
        Fraud Involves a knowing misrepresentation or misleading statement, writing or activity made with the intent that the person receiving it will act upon it.

      • 1.16 Viruses
        Distribution of Viruses Intentional distributions of software that attempts to and/or causes damage, harassment, or annoyance to persons, data, and/or computer systems are prohibited. Such an offense will result in the immediate termination of the offending account.

      • 1.17 Inappropriate use of software
        Use of software on a shared service that would facilitate a continued connection, i.e. pinging, while using CSpace Hostings services could result in suspension service.

      • 1.18 Third party accountability
        CSpace Hostings subscribers will be held responsible and accountable for any activity by third parties, using their account, that violates guidelines created within the Acceptable Use Policy.

      • 1.19 Violation of shared/virtual services
        It is absolutely forbidden to host pornographic content or IRC servers on shared/virtual services. Clients found hosting this material will be subject to immediate cancellation without refund.

    2. Security


    3. You are responsible for any misuse of your account, even if a friend, family member, guest or employee committed the inappropriate activity. Therefore, you must take steps to ensure that others do not gain unauthorized access to your account. In addition, you may not use your account to breach security of another account or attempt to gain unauthorized access to another network or server. Your password provides access to your account. It is your responsibility to keep your password secure.
      Sharing your password and account access with unauthorized users is prohibited. You should take care to prevent others from using your account since you will be held responsible for such use.
      Attempting to obtain another user's account password is strictly prohibited and may result in termination of service.
      You must adopt adequate security measures to prevent or minimize unauthorized use of your account.
      You may not attempt to circumvent user authentication or security of any host, network or account. This includes, but is not limited to, accessing data not intended for you, logging into or making use of a server or account you are not expressly authorized to access, or probing the security of other networks. Use or distribution of tools designed for compromising security is prohibited. Examples of these tools include, but are not limited to, password guessing programs, cracking tools or network probing tools.
      You may not attempt to interfere with service to any user, host or network ("denial of service attacks"). This includes, but is not limited to, "flooding" of networks, deliberate attempts to overload a service, and attempts to "crash" a host.
      Users who violate systems or network security may incur criminal or civil liability. CSpace Hostings will cooperate fully with investigations of violations of systems or network security at other sites, including cooperating with law enforcement authorities in the investigation of suspected criminal violations.


    4. Network performance


    5. CSpace Hostings accounts operate on shared resources. Excessive use or abuse of these shared network resources by one customer may have a negative impact on all other customers. Misuse of network resources in a manner that impairs network performance is prohibited by this policy and may result in termination of your account.
      On shared accounts you are prohibited from excessive consumption of resources, including CPU time, memory, disk space and session time. You may not use resource-intensive programs that negatively impact other customers or the performances of CSpace Hostings systems or networks. CSpace Hostings reserves the right to terminate or limit such activities.


    6. Reporting violations of the AUP


    7. CSpace Hostings requests that anyone who believes that there is a violation of this AUP direct the information to the abuse department.
      Make sure to provide the following information

      • - The IPv4/IPv6 address used to commit the alleged violation;
      • - The date and time of the alleged violation, including the time zone or offset from GMT;
      • - Evidence of the alleged violation (i.e. logs, print screens).

      E-mail with full header information provides all of the above, as do system log files. Other situations will require different methods of providing the above information. CSpace Hostings may take any one or more of the following actions in response to complaints


      • - Issue written or verbal warnings;
      • - Suspend the member's newsgroup posting privileges;
      • - Suspend the member's account;
      • - Terminate the member's account;
      • - Bill the member for administrative costs and/or reactivation charges;
      • - Bring legal action to enjoin violations and/or to collect damages, if any, cause by violations.
